User License & Terms of Service

These terms govern your use of the Misprompt macOS menu bar app.

1. Important Notice and Acceptance

  1. These User License and Terms of Service (the “Agreement”) apply to your use of the Misprompt macOS menu bar app (the “Product”).
  2. Before purchasing, downloading, installing, accessing, or otherwise using the Product, you should read and agree to this Agreement. If you do not agree, stop using the Product.
  3. We may update this Agreement from time to time. An updated Agreement takes effect immediately upon publication; your continued use of the Product means that you accept the updated Agreement.

2. License Form and Meaning of “Perpetual”

  1. After you complete a purchase and receive a license, we grant you the right to use the Product within the scope of this Agreement (the “License”).
  2. The License is perpetual: as long as you do not breach this Agreement and the authorization information on which the License relies can still be recognized and used by the Product on your device/local environment, you may continue to use the Product.
  3. You understand and agree that “perpetual” does not guarantee:
    • continued use at any time, on any device, or in every system state;
    • recovery after uninstalling, reinstalling, changing devices, or cleaning your system causes local authorization information to become unavailable;
    • that we will operate the Product or maintain all verification/recovery capabilities indefinitely.
    The Product’s availability and ability to restore authorization depend on the local authorization credential and the self-service reactivation capability we provide while operating the Product (see Sections 4, 5, and 6).

3. License Scope, Three-Activation Limit, and Restrictions

  1. Provided that you comply with this Agreement, you receive a license for personal/internal use only, excluding resale or redistribution.
  2. Each license key permits a maximum of three successful activations in total. This is a cumulative lifetime limit for that license key and does not reset over time.
  3. Initial activation on a device counts as one activation. Activation on another or replacement device, and reactivation or recovery after uninstalling, reinstalling, system cleanup, Keychain changes, operating-system changes, loss of a Local Credential, or a similar event, each count as another activation when successfully recorded by the licensing service.
  4. After three successful activations have been recorded, any further attempt to activate, reactivate, or recover the license exceeds the limit. Upon such an over-limit attempt, the license becomes void and invalid and cannot be used for any future activation, reactivation, or recovery. Except where mandatory law requires otherwise, we are not required to reset the count, restore the license, or issue a replacement.
  5. You are responsible for safeguarding your license key. Successful activations made by anyone using your license key, whether authorized by you or not, count toward the same three-activation limit.
  6. You must not:
    • crack, bypass, interfere with, or attempt to bypass the Product’s licensing or verification mechanisms;
    • decompile, disassemble, or analyze the Product through reverse engineering;
    • use the Product or License for an unauthorized third party commercial purpose or allow a third party to obtain usage rights;
    • violate laws or regulations, infringe others’ lawful rights, or compromise the Product’s security.
  7. If you breach this Agreement, we may suspend or terminate License-related services and support, including reactivation support. This does not affect existing local authorization credentials and their corresponding functions that remain available on your device, subject to Sections 4 and 6.

4. Activation, Offline Availability, and Local Authorization Credentials

  1. Activation occurs only when you enter a valid license key and explicitly select the activation action. Launching or relaunching the Product does not by itself submit an activation request or consume another activation.
  2. After a successful activation, we create and save a local authorization credential (the “Local Credential”) on your device for License verification and offline availability.
  3. When a Local Credential exists on your device and has not been cleared or damaged, the Product may continue providing License-related functionality while offline without consuming another activation.
  4. You understand and agree that:
    • the Local Credential is generally linked to a specific device, installation environment, and system state;
    • operating-system reinstallation, uninstallation, cleanup, migration, reset, permission changes, or other events may make the Local Credential unavailable and prevent License verification;
    • offline use depends on a usable Local Credential remaining on your device;
    • successfully reactivating or recovering the License after the Local Credential becomes unavailable consumes another activation under Section 3.

5. Reactivation / Restore Unlock (Self-Service While We Operate)

  1. If your Local Credential is lost or unavailable for a reason described in Section 4, you may need to reactivate or restore unlock status to regain authorization.
  2. Reactivation/restoration is generally completed through a self-service process: you sign in with the same account or use a self-service entry point that we provide (for example, an in-app, web, or client flow), submit required information, and complete verification. Based on the result, we regenerate or restore the state or credential needed for License verification on your device.
  3. Reactivation or recovery does not reset the cumulative activation count. Each successful reactivation or recovery consumes another activation. If three successful activations have already been recorded, any further activation, reactivation, or recovery attempt causes the License to become void under Section 3.
  4. You understand and agree that:
    • self-service recovery depends on the service capability and technical conditions that we maintain while operating the Product;
    • the process may change for security, compliance, troubleshooting, or policy reasons;
    • we may require proof of purchase, account information, or other necessary verification materials to protect License legitimacy and security;
    • success may depend on your device state, system environment, network reachability, activation count, and verification rules.
  5. We do not promise that the same process will be available or successful at every time, in every region, or under every circumstance.
  6. If recovery succeeds while we operate the service, you may continue using License-related functionality offline afterward, subject to the Local Credential remaining present and usable.

6. Effect of Discontinuing Operation on Uninstall/Reinstall Availability

  1. You understand and agree that we may discontinue the Product or reactivation/unlock recovery services, including verification, server support, or related services.
  2. If, after discontinuation, uninstalling, reinstalling, cleaning, or changing devices causes your Local Credential to be lost or unavailable:
    • you may be unable to reactivate or recover the unlock through self-service;
    • you may consequently be unable to continue using Product functions.
  3. A Local Credential saved before discontinuation and still usable may allow continued use after discontinuation. This does not mean that we will provide recovery, migration, or reactivation after discontinuation.

7. Availability, Updates, and Compatibility

  1. We may update, upgrade, or adjust the Product and its features. Its interface and capabilities may change between versions.
  2. Different macOS versions, permission policies, system settings, and device states may affect performance. We do not guarantee complete compatibility or continued availability on all future systems or devices.
  3. To the extent permitted by law, we may stop maintaining or supporting older versions.

8. Authorization Compliance, Data, and Network Requirements

  1. For authorization decisions, secure operation, and troubleshooting, the Product may need to collect and process necessary data, including device information, authorization status, and logs.
  2. Privacy and data processing are governed by our Privacy Policy. If the Privacy Policy conflicts with this Agreement, the Privacy Policy prevails.
  3. Self-service reactivation may require an internet connection and account verification; recovery may not be possible offline.

9. Fees, Purchases, and Refunds

  1. Prices, taxes, and payment methods are as displayed by the purchase channel.
  2. Refunds are governed by the policies of the platform or channel you use. To the extent permitted by law, we may also make exceptions under specific conditions.
  3. In a dispute, we may need to verify purchase records, account information, and necessary information related to your use to determine authorization and responsibility.

10. Termination and Suspension

  1. If you breach this Agreement, create a security risk, or if we reasonably suspect non-compliance or fraud, we may suspend or terminate License-related support, including self-service recovery support.
  2. A License that becomes void because of an over-limit attempt under Section 3 cannot be used for any later activation, reactivation, or recovery. Continued operation on a previously activated device depends solely on its usable Local Credential remaining present; it does not restore the License or its activation eligibility.
  3. Even after termination, the Product may continue working on a device/environment where the Local Credential remains present and usable; however, recovery after termination or after we stop operating is not guaranteed (see Sections 4 and 6).

11. Limitation of Liability

  1. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or punitive damages arising from your use of the Product, authorization verification, or mechanisms related to this Agreement.
  2. In all cases, our total liability to you will not exceed the amount you actually paid for this License, excluding taxes and other fees, unless mandatory law provides otherwise.
  3. You understand that authorization and offline availability depend on Local Credentials and operational service capacity and may be affected by system updates, device changes, and operational policy changes.

12. Intellectual Property

  1. Intellectual property in the Product and related content, including software, interface, trademarks, and logos, belongs to us or third-party rights holders.
  2. This Agreement grants only a License to use and does not transfer intellectual property rights. Except as permitted by law, you may not use, copy, or distribute the Product without authorization.

13. Dispute Resolution and Governing Law

  1. The formation, performance, and interpretation of this Agreement are governed by the laws of China.
  2. For disputes arising from this Agreement, the parties should first seek friendly consultation. If consultation fails, the dispute shall be submitted to the Nanshan District Court of Shenzhen, China.

14. Agreement Changes

  1. We may update this Agreement when necessary to reflect changes in laws and regulations, Product functionality, or compliance requirements.
  2. An updated Agreement takes effect upon publication. If you do not agree, you must stop using the Product.

1. 重要提示与接受

  1. 本用户许可与服务条款(“本协议”)适用于你使用 macOS 菜单栏 App Misprompt(“本产品”)。
  2. 你在购买、下载、安装、访问或以其他方式使用本产品前,应阅读并同意本协议。若你不同意本协议,请停止使用本产品。
  3. 我们可能会不时更新本协议。更新后的协议在发布后立即生效;你继续使用本产品即表示你同意更新后的协议。

2. 许可形式与“永久”含义

  1. 我们基于你完成购买并获得许可后,授予你在本协议约定范围内使用本产品的权利(“许可”)。
  2. 该许可的期限为永久有效,即:在你未违反本协议、且许可所依赖的授权信息仍可在你设备/本地环境中被本产品继续识别与使用的情况下,你可以持续使用本产品。
  3. 你理解并同意:“永久有效”并不保证:
    • 在任何时间、任何设备、任何系统状态下均可继续使用;
    • 你卸载、重装、更换设备或清理导致本地授权信息不可用后仍能恢复;
    • 我们未来必然持续运营并维持所有验证/恢复能力。
    本产品的可用性与是否能恢复授权,取决于本地授权凭证及我们在运营期间提供的自助重新激活能力(见第 4、5、6 条)。

3. 许可范围、三次激活上限与使用限制

  1. 在你遵守本协议的前提下,你获得个人使用/内部使用的许可(不包括转售或再分发)。
  2. 每个许可证密钥累计最多允许成功激活三次。该限制是该许可证密钥的终身累计上限,不会随时间经过而重置。
  3. 在一台设备上首次激活计为一次。在其他设备或替换设备上激活,以及因卸载、重装、系统清理、钥匙串变更、操作系统变更、本地凭证丢失或类似事件而进行的重新激活或恢复,在许可服务成功记录时,均分别计为新的一次激活。
  4. 累计记录三次成功激活后,再次尝试激活、重新激活或恢复即属于超过许可上限。一旦发生该超限尝试,该许可证立即作废并失效,之后不得再用于任何激活、重新激活或恢复。除非适用法律有强制要求,我们没有义务重置次数、恢复该许可证或补发新许可证。
  5. 你有责任妥善保管许可证密钥。任何人使用你的许可证密钥产生的成功激活,无论是否经过你的授权,均计入同一个三次激活上限。
  6. 你不得从事以下行为:
    • 破解、绕过、干扰或试图绕过本产品的授权/验证机制;
    • 反编译、反汇编、以逆向工程方式分析本产品;
    • 未经授权将本产品或许可用于第三方商业用途或让第三方获取使用权;
    • 任何违反法律法规、侵犯他人合法权益或损害本产品安全性的行为。
  7. 若你违反本协议,我们可能暂停或终止与你相关的许可/服务支持(包括重新激活支持),但不影响你设备上已存在且仍可用的本地授权凭证所对应的既有功能可用性(前提见第 4、6 条)。

4. 激活、离线可用与本地授权凭证

  1. 只有在你输入有效许可证密钥并明确点击激活操作后,产品才会发起激活。仅启动或重新启动产品不会自动提交激活请求,也不会消耗新的激活次数。
  2. 成功激活后,我们会在你的设备上创建并保存某种本地授权凭证(“本地凭证”),用于本产品的授权判断与离线可用性。
  3. 在你的设备已保存本地凭证且本地凭证未被清除或破坏的情况下,本产品可在离线状态下继续提供与许可相关的功能,且不会消耗新的激活次数。
  4. 你理解并同意:
    • 本地凭证通常与特定设备/安装环境/系统状态相关;
    • 操作系统层面的重装、卸载、清理、迁移、重置、权限变更或其他可能导致本地凭证不可用的行为,可能导致本产品无法继续完成授权校验;
    • 本产品是否能在离线状态下继续使用,依赖你设备中仍存在可用的本地凭证;
    • 本地凭证不可用后,成功重新激活或恢复许可证将按第 3 条消耗新的激活次数。

5. 重新激活/恢复解锁(运营期间,自助方式)

  1. 当你的本地凭证因第 4 条所述原因丢失或不可用时,你可能需要进行重新激活/恢复解锁以重新获得授权状态。
  2. 重新激活/恢复解锁通常通过自助方式完成:你使用同一账号登录本产品或使用我们提供的自助入口(例如 App 内流程或网页/客户端入口),并提交/完成必要的信息与验证步骤后,我们将根据验证结果为你的设备重新生成或恢复授权校验所需的相关状态或凭证。
  3. 重新激活或恢复不会重置累计激活次数。每次成功的重新激活或恢复都会消耗新的激活次数。若已累计记录三次成功激活,此后再次尝试激活、重新激活或恢复,将按第 3 条导致许可证作废。
  4. 你理解并同意:
    • 自助恢复流程的可用性取决于我们在运营期间维护的服务能力与技术条件;
    • 出于安全、合规、故障排除或政策调整等原因,自助恢复流程可能随时调整;
    • 我们可能需要你提供购买凭证、账号信息或其他用于核验的必要材料,以确保授权的合法性与安全性;
    • 自助恢复的成功与否可能受你设备状态、系统环境、网络可达性、累计激活次数与验证规则影响。
  5. 我们不承诺在任何特定时间、任何地区或任何情况下都能提供同样的自助恢复流程或保证恢复一定成功。
  6. 若你在运营期间完成自助恢复流程并获得恢复,则在恢复完成后,你在后续离线状态下可继续使用与许可相关的功能(仍受本地凭证存在与可用性影响)。

6. 停止运营对“卸载/重装后可用性”的影响(关键边界)

  1. 你理解并同意:我们可能在未来停止运营本产品或停止提供重新激活/恢复解锁服务(包括停止维持验证能力、服务器支持或相关服务)。
  2. 若我们停止运营后,你因卸载、重装、清理或更换设备等导致本地凭证丢失或不可用,则:
    • 你可能无法通过自助方式重新激活/恢复解锁来再次获得授权;
    • 你可能因此无法继续使用本产品相关功能。
  3. 你在我们停止运营前已保存且仍可用的本地凭证,可能使你在停止运营后仍能继续使用本产品;但这不意味着我们在停止运营后仍会提供恢复、迁移或重新激活能力。

7. 服务可用性、更新与兼容性

  1. 我们可能对本产品进行更新、升级或调整功能。本产品的界面与能力可能随版本变化。
  2. 你理解并同意:不同 macOS 版本、权限策略、系统设置以及设备状态可能影响本产品的表现。我们不保证在未来所有系统版本或设备环境中均能完全兼容或持续可用。
  3. 我们可能在法律允许范围内停止对旧版本的维护或支持。

8. 授权合规、数据与网络需求

  1. 为了授权判断、安全运行与问题排查,本产品可能需要收集和处理必要数据(包括但不限于设备信息、授权状态、日志等)。
  2. 隐私与数据处理以我们的隐私政策为准。若隐私政策与本协议冲突,以隐私政策为准。
  3. 自助重新激活流程可能需要网络连接与账号验证;离线情况下可能无法完成恢复。

9. 费用、购买与退款

  1. 本产品的价格、税费及收费方式以购买渠道展示为准。
  2. 退款规则以你所使用的平台/渠道的政策为准;如法律允许,我们也可能在特定条件下提供例外处理。
  3. 如发生争议,我们可能需要核验购买记录、账号信息及与你使用行为相关的必要信息,以确定授权与责任边界。

10. 终止与暂停

  1. 在你违反本协议、存在安全风险、或我们合理怀疑存在违规/欺诈行为时,我们可暂停或终止你的许可相关服务支持(包括自助恢复支持)。
  2. 因第 3 条所述的超限尝试而作废的许可证,不得再用于之后的任何激活、重新激活或恢复。此前已激活设备能否继续运行,仅取决于可用的本地凭证是否仍存在;这不会恢复该许可证,也不会恢复其激活资格。
  3. 即使本协议终止,在你设备上本地凭证仍存在且可用的情况下,你可能仍可在该设备/环境中继续使用本产品;但不保证在本协议终止或我们停止运营后仍能获得恢复能力(见第 4、6 条)。

11. 责任限制

  1. 在法律允许的最大范围内,我们不对因你使用本产品、授权验证或本协议相关机制导致的任何间接、附带、特殊或惩罚性损害承担责任。
  2. 在任何情况下,我们对你承担的总责任不超过你为本许可实际支付的费用金额(以你实际支付为准,不包含任何税费或其他费用,法律另有强制规定的除外)。
  3. 你理解并同意:授权与离线可用性机制存在依赖本地凭证与运营期间服务能力的客观限制,因此可能受到系统更新、设备变更与运营策略变化影响。

12. 知识产权

  1. 本产品及其相关内容(包括但不限于软件、界面、商标、标识等)的知识产权归我们或第三方权利人所有。
  2. 本协议仅授予你使用许可,不转让你任何知识产权。除法律允许外,你不得对本产品进行未授权使用、复制或传播。

13. 争议解决与适用法律

  1. 本协议的订立、执行与解释适用中国法律。
  2. 因本协议产生的争议,双方应先友好协商;协商不成的,提交至中国深圳南山法院解决。

14. 协议变更

  1. 我们可在必要时更新本协议以反映法律法规变化、产品功能调整或合规需求。
  2. 更新后的协议发布后即生效;若你不同意更新,你应停止使用本产品。
